A Solicitor's Certificate is much more than a signed form. It confirms that an Australian Legal Practitioner has provided independent legal advice explaining the legal effect of the loan documents, the obligations being assumed, and the potential risks involved before the documents are executed.

In Victoria, the provision of advice to borrowers and guarantors is governed by Rule 11 of the Legal Profession Uniform Legal Practice (Solicitors) Rules 2015. The Rule prescribes the professional obligations of solicitors providing independent legal advice and requires the use of approved Law Institute of Victoria (LIV) forms in appropriate circumstances.

The purpose of these requirements is to ensure that borrowers and guarantors:

  • understand the documents they are signing
  • appreciate the financial and legal consequences of the transaction;
  • are signing voluntarily without improper influence or coercion; and
  • have received truly independent legal advice.

Banks and financial institutions rely upon these certificates because they demonstrate that the borrower or guarantor has been independently advised before entering into significant financial obligations.

One of the most common misconceptions is that a Solicitor's Certificate simply requires a lawyer to witness your signature.

This is not correct.

A solicitor providing a Solicitor's Certificate must first carefully review the loan documents, explain their legal effect, answer your questions and ensure you understand the obligations you are undertaking before any certificate can be signed.

Loan documentation is often extensive and may include mortgages, guarantees, indemnities and other related documents. Every lender has different requirements and there is no single standard form of lending documentation.

Before a Solicitor's Certificate can be issued, we are required to verify your identity.

Verification of Identity (VOI) is an essential safeguard designed to protect borrowers, guarantors, lenders and legal practitioners against fraud and identity theft. It also ensures that the person receiving independent legal advice is the individual entering into the lending transaction.

Under Rule 11.2 of the Legal Profession Uniform Legal Practice (Solicitors) Rules 2015, Australian legal practitioners must verify a client's identity in accordance with the Verification of Identity (VOI) Standardcontained in Schedule 8 of the ARNECC Model Participation Rules.

The Legal Practitioners' Liability Committee (LPLC) has consistently advised that compliance with Rule 11.2 requires a face-to-face, in-person Verification of Identity before a solicitor can issue a Solicitor's Certificate under Rule 11. Accordingly, where a physical VOI cannot be completed, we are generally unable to issue a Solicitor's Certificate, although independent legal advice may still be provided where appropriate.

To complete the Verification of Identity process, you will generally be required to provide original identification documents, which may include:

  • Australian Passport;
  • Australian Driver Licence;
  • Medicare Card; and/or
  • Other government-issued identification documents where required.

Please email clear colour copies of your identification documents before your appointment. You must also bring the original documents with you when attending our office so that we can complete the required face-to-face Verification of Identity.

Our firm follows the applicable legislative requirements, the ARNECC Verification of Identity Standard, and professional guidance issued by the Legal Practitioners' Liability Committee to ensure every Solicitor's Certificate is issued in compliance with Victorian professional obligations and lender requirements.
